Terms of Service
These Terms are the contract between you and AxiView. We've tried to keep them readable — plain language wherever the law lets us — but they are still a contract. The parts that change what you owe us, what we owe you, and what either side can sue the other for are in §5 (billing), §13 (warranties), §14 (liability cap), and §18 (disputes). Read those first if you skim.
1. Acceptance + the parties
These Terms of Service (the “Terms”) are a binding agreement between you (the “Customer” — the engineering firm or, where the firm is a sole practitioner, the individual) and AxiView Engineering (“AxiView”, “we”, “us”).
By creating an account, signing in, or using any part of the service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you are accepting on behalf of a firm, you confirm you have authority to bind the firm. If you do not agree, do not use the service.
2. Definitions
| Term | Meaning |
|---|---|
| Account | The firm workspace (tenant) and the individual user logins that belong to it. |
| Customer Content | Anything you (or your users) upload, type, or generate inside AxiView — projects, proposals, timesheets, invoices, .docx files, comments. |
| AI Output | Text or structured data produced by an AI model on your behalf, as described in §7. |
| Subscription | Your paid plan — billed monthly or annually — that unlocks write access to the service. |
| Third-Party Service | An external system you optionally connect (e.g., QuickBooks Online, Microsoft Teams). |
| Documentation | Help articles, the Privacy Policy, and any pages we publish describing how the service works. |
3. The service
AxiView is a software-as-a-service application that helps MEP (Mechanical, Electrical, Plumbing) design firms run their practice — proposals, projects, time tracking, billing, and integrations with QuickBooks Online and Microsoft Teams.
The service is delivered over the public internet from AWS infrastructure in the United States. We may add, change, or remove features. We'll give you reasonable notice for changes that materially reduce the service's core functionality during a paid term.
3.1 Beta features
We sometimes label features “beta”, “preview”, or “experimental”. Those features are provided as-is, may change without notice, and are not covered by the service-level commitments of paid tiers.
4. Accounts + access
4.1 Account creation
You must give us accurate sign-up information and keep it current. You are responsible for everything that happens under your account credentials and for keeping passwords + multi-factor secrets safe. Notify us at security@axiview.ai as soon as you suspect unauthorised access.
4.2 Multi-user accounts
AxiView assigns roles inside a firm — owner, manager, engineer, junior, admin, read-only. The firm owner is responsible for provisioning and de-provisioning users and for the actions of users they invite.
4.3 Age
The service is intended for individuals 18 or older. You may not create an account if you are below the age of majority in your jurisdiction.
4.4 Account suspension
We may suspend an account or specific users without prior notice if we reasonably believe the account is being used to violate §8 (acceptable use), is involved in a security incident, or has not paid a past-due invoice after 30 days' notice.
5. Subscription, billing, refunds
5.1 Locked accounts — there is no trial
There is no free trial and no free tier. When the owner signs up, the firm account is created in a lockedstate: users can sign in and read the firm's own data, but the account cannot create or change records. A locked account is a real account, not an expiring one: it does not lapse on a timer. Termination and deletion are governed by §16 — being locked is not itself a ground for either.
Write access begins on the first successful payment for a plan, or on redemption of a complimentary access code we issue. Those are the only two ways an account is unlocked. If a subscription later ends and these Terms are not terminated under §16, the account returns to the same locked, read-only state.
While an account is locked you keep the right to export your Customer Content in machine-readable form, on the same terms as §6.1. Locking restricts writing to the service; it does not hold your records.
5.2 Paid subscription
Continued use beyond read-only access requires a paid subscription. Pricing is listed on our pricing page. Subscriptions are billed in advance — monthly or annually, at your choice — and renew automatically until cancelled.
5.3 Taxes
Prices are exclusive of taxes. You are responsible for sales tax, VAT, GST, or similar taxes assessed by your jurisdiction; we will add applicable taxes to invoices where we are required to collect them.
5.4 Payment + late payment
Payment is due on the invoice date. If a payment fails, we'll retry and notify the firm owner. Invoices unpaid 30 days past due may result in suspension (§4.4). Reactivation requires settling the outstanding balance.
5.5 Plan changes
You can change plans from the settings area. Upgrades take effect immediately and are prorated. Downgrades take effect at the next renewal.
5.6 Refunds
- Monthly plans:if AxiView doesn't fit how your firm runs jobs, email us within 30 days of your first payment and we refund that month — this is the thirty-day commitment published on our pricing page. Outside that window, monthly fees are non-refundable for the current month; cancel any time before renewal.
- Annual plans: prorated refund within the first 30 days of the term if you cancel for any reason; after 30 days, no refund except as required by law.
- Service unavailability: if a continuous service outage affects your firm for more than 24 hours, contact support@axiview.ai for a service credit.
5.7 Price changes
We may change subscription prices with at least 30 days' advance notice by email. The new price takes effect at your next renewal; you can cancel before then without penalty.
6. Your data + Privacy Policy
You retain all rights to Customer Content. We do not sell it, share it for advertising, or use it to train AI models.
You grant AxiView a limited, non-exclusive license to host, process, transmit, display, and back up Customer Content solely to provide the service to your firm (including by sending it to our AI provider's API for AI features as described in §7).
How we collect, use, store, secure, and disclose personal data — and how AI features handle your information — is described in our Privacy Policy, which is incorporated into these Terms by reference. If a term in the Privacy Policy conflicts with a term here, the Privacy Policy controls for matters of personal-data handling.
6.1 Export + deletion
You can export Customer Content in machine-readable form at any time and delete the account from settings. Hard-deletion completes within 30 days; backup tapes age out by day 60. Full details: Privacy Policy, §11.
6.2 Aggregated + de-identified data
We may generate aggregated, de-identified statistics from how the service is used (e.g., “X% of firms use the QuickBooks integration”) to operate and improve the service. Aggregated data does not identify you or your clients and is not Customer Content.
7. AI features + Professional Engineer responsibility
7.1 What AI does in AxiView
Specific features call a third-party AI API directly to draft proposals, extract data from uploaded .docx/.pdf files, and assist with similar workflow tasks. The complete list and the data sent to each feature is in the Privacy Policy, §6.
7.2 Hallucination + correctness
Large language models can produce plausible-sounding but incorrect content (code citations, dimensions, jurisdictional rules). You acknowledge this and agree that you (or your PE-of-record) will review AI Output before relying on it or delivering it to a client.
7.3 Ownership of AI Output
As between you and AxiView, you own AI Output produced from your prompts and your Customer Content, subject to any reservations in the underlying model provider's terms. AI Output may resemble output produced for other customers from similar prompts; we make no claim of uniqueness.
7.4 Restrictions
You will not use AI Output to mislead about its AI-assisted origin when professional regulations require disclosure, and you will not rely on AI Output as the sole basis for safety-critical engineering decisions.
8. Acceptable use
You will not, and will not permit anyone else to:
- Use the service to violate any law, regulation, or third-party right.
- Upload malware, attempt to break the security or isolation of the service, probe or scan it without prior written authorization, or interfere with other customers' use.
- Reverse-engineer, decompile, or attempt to derive the source code of the service, except to the extent that applicable law expressly permits.
- Resell, sublicense, white-label, or operate AxiView as a service for unrelated third parties.
- Use the service to send unsolicited communications (spam) or to collect personal information without lawful basis.
- Use the service for safety-critical applications where AI Output could cause death, personal injury, or severe environmental harm without independent verification by a licensed engineer.
- Use the service to process payment card numbers, government IDs, or children's personal data; AxiView is not built for these categories.
We may investigate and remove content or activity that we reasonably believe violates this section.
9. Intellectual property
9.1 AxiView's IP
The AxiView service, brand, templates we provide, software, and documentation are owned by AxiView and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use them during your subscription, for your firm's internal business. No other rights are granted by implication or estoppel.
9.2 Your IP
You own your Customer Content and any templates you create from scratch. The license you grant us is described in §6.
9.3 DMCA + counter-notice
If you believe content on AxiView infringes your copyright, send a notice with the elements required by 17 U.S.C. §512(c) to legal@axiview.ai. Repeat infringers will have their accounts terminated.
10. Feedback
If you send us suggestions, ideas, bug reports, or other feedback, you grant AxiView a worldwide, royalty-free, perpetual license to use the feedback to operate and improve the service. You don't have to send feedback, but if you do, please don't include anything you consider confidential.
11. Third-party services (QuickBooks, Teams)
AxiView integrates with certain external systems — most notably QuickBooks Online (Intuit) for billing sync and Microsoft Teams for notifications. These are optional and require you to complete an OAuth connection.
When you connect a Third-Party Service:
- Your use of that service is governed by its provider's terms and privacy policy, not by these Terms.
- We exchange data with it only to the extent needed to deliver the integration you enabled (Privacy Policy §6.4, §7).
- We may suspend an integration without notice if the third party changes its API, withdraws access, or has an outage; we are not responsible for the third party's service.
- You can disconnect any integration from settings at any time.
12. Confidentiality
Each party may have access to information of the other that is confidential. The receiving party will protect the disclosing party's confidential information with at least the same care it uses for its own, and only use it to perform under these Terms. Confidential information does not include information that is publicly available without breach, was already known to the receiving party, or is independently developed.
Customer Content is your confidential information. AxiView's non-public technical details and pricing terms are ours.
13. Warranties + disclaimers
13.1 What we warrant
We warrant that we will provide the service with reasonable skill and care, consistent with industry standards for B2B SaaS. We warrant that we will not materially decrease the security posture described in the Privacy Policy without notice.
13.2 Disclaimers
EXCEPT AS EXPRESSLY STATED IN §13.1, THE SERVICE IS PROVIDED “AS-IS” AND “AS-AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONDUIT DISCLAIMS ALL OTHER WARRANTIES — EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE — INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU REMAIN PROFESSIONALLY RESPONSIBLE FOR ENGINEERING WORK YOU SIGN, STAMP, OR DELIVER.
Some jurisdictions do not allow these disclaimers; in those, the disclaimers apply to the maximum extent permitted.
14. Limitation of liability
14.1 Excluded damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
14.2 Aggregate cap
EXCEPT FOR (a) PAYMENT OBLIGATIONS UNDER §5, (b) INDEMNIFICATION OBLIGATIONS UNDER §15, AND (c) A PARTY'S BREACH OF §12 (CONFIDENTIALITY) OR §8 (ACCEPTABLE USE), EACH PARTY'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS IS CAPPED AT THE FEES ACTUALLY PAID OR PAYABLE BY YOU TO CONDUIT IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14.3 Allocation of risk
The price of the service reflects this allocation of risk. Without these limitations, the price would be materially different. The limitations apply even if a remedy fails of its essential purpose.
15. Indemnification
15.1 By AxiView
We will defend you against a third-party claim alleging that the AxiView service, as used within these Terms, infringes that party's US patent, copyright, or trademark, and we will pay damages and reasonable attorneys' fees finally awarded against you (or agreed in settlement). If the service becomes — or we believe it may become — the subject of an infringement claim, we may at our option (i) modify it to be non-infringing, (ii) procure a license, or (iii) terminate the affected feature and refund any prepaid fees for the unused period.
15.2 By you
You will defend AxiView against a third-party claim arising from (i) Customer Content, (ii) your or your users' use of the service in breach of §8, (iii) your engineering work or deliverables to clients, including reliance on AI Output without PE review, and (iv) your connection of a Third-Party Service. You will pay damages and reasonable attorneys' fees finally awarded against us (or agreed in settlement).
15.3 Procedure
The indemnifying party gets control of the defense and settlement; the other party will cooperate at the indemnifying party's expense. Neither party may settle a claim in a way that admits the other's fault or imposes obligations on the other without that party's consent.
16. Term + termination
16.1 Term
These Terms begin when you create an account and continue until terminated.
16.2 Termination by you
You can cancel at any time from settings. Cancellation takes effect at the end of the current billing period; you are not charged again.
16.3 Termination by AxiView
We may terminate or suspend the service to you for: (i) material breach of these Terms not cured within 30 days of written notice; (ii) non-payment per §5.4; or (iii) immediately, if your use creates a security, legal, or regulatory risk to AxiView, our infrastructure providers, or other customers.
16.4 Effect of termination
After termination, your account becomes read-only for 30 days so you can export Customer Content. After 30 days we begin hard deletion as described in the Privacy Policy. Sections that by their nature survive termination (e.g., §6, §9, §12, §13, §14, §15, §18) will survive.
17. Changes to these Terms
We may update these Terms. For material changes, we will give 30 days advance notice by email to the firm owner and an in-app banner before the change takes effect. Non-material changes (clarifications, typo fixes) take effect when posted.
Continued use of the service after the effective date of a change constitutes acceptance. If you do not agree to a material change, you can cancel before the effective date and we will refund the unused portion of any prepaid annual term, prorated.
Material changes are tracked in the change log at the bottom of this page.
18. Governing law + disputes
18.1 Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18.2 Informal resolution first
Before filing a claim, you agree to try to resolve the dispute informally by emailing legal@axiview.ai with a description of the issue and the relief you want. We agree to do the same. We will negotiate in good faith for 30 days before formal proceedings.
18.3 Venue
If informal resolution fails, the state and federal courts located in New Castle County, Delaware have exclusive jurisdiction over any dispute arising out of these Terms. Each party consents to that jurisdiction and venue.
18.4 Time limit
Any claim arising from these Terms must be filed within one (1) year after the cause of action accrues, or it is permanently barred, except where applicable law prohibits a contractual shortening of the limitations period.
18.5 No class actions
To the extent permitted by law, each party waives any right to participate in a class, collective, or representative action against the other arising from these Terms.
19. General (notices, assignment, severability)
19.1 Notices
We send notices by email to the firm owner's address on file and, for material changes, by in-app banner. You send notices to legal@axiview.ai. You are responsible for keeping contact information current.
19.2 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets. Any prohibited assignment is void.
19.3 Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control (natural disaster, war, civil unrest, network or infrastructure failure outside its control, government action), provided the affected party gives prompt notice and uses commercially reasonable efforts to resume performance.
19.4 Independent contractors
The parties are independent contractors. Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship.
19.5 No third-party beneficiaries
These Terms benefit only AxiView and the Customer; no other person or entity has rights under them.
19.6 Severability + waiver
If a court finds a provision unenforceable, it will be modified to the minimum extent necessary to make it enforceable and the rest of these Terms will remain in effect. A party's failure to enforce a provision is not a waiver of its right to enforce it later.
19.7 Entire agreement
These Terms, together with the Privacy Policy and any order form or enterprise agreement you sign with us, are the entire agreement between the parties about the service. They supersede any prior or contemporaneous oral or written agreements on the same subject.
19.8 Export + sanctions
You will comply with all applicable US export-control laws and economic sanctions. You represent that you and your firm are not located in, organized under, or ordinarily resident in any country subject to comprehensive US sanctions, and that you are not on any US government restricted-party list.
